The company realizes that the Board of Commissioners has a very important role in carrying out its supervisory function, as of a charter is needed that regulates the Criteria for Members & Appointments of the Board of Commissioners and the Duties and Responsibilities of the Board of Commissioners which can be used as work guidelines for the Board of Commissioners.<\/p>\n

The Board of Commissioners of GED has a charter which was compiled referring to OJK Regulation No. 33\/POJK.04\/2014 concerning Directors and Board of Commissioners of Issuers or Public Companies and other applicable regulations.<\/p>\n

Perseroan menyadari bahwa Dewan Komisaris memiliki peran yang sangat penting dalam menjalankan fungsi pengawasannya, sehingga dibutuhkan sebuah piagam yang mengatur tentang Kriteria Anggota & Pengangkatan Dewan Komisaris dan Tugas dan Tanggung Jawab Dewan Komisaris yang dapat menjadi pedoman kerja Dewan Komisaris.<\/p>\n

Dewan Komisaris GED telah memiliki piagam yang disusun mengacu kepada Peraturan OJK No. 33\/POJK.04\/2014 tentang Direksi dan Dewan Komisaris Emiten atau Perusahaan Publik serta peraturan lainnya yang berlaku.<\/p>\n

The Company’s Audit Committee was formed with the main objective of assisting the Board of Commissioners in carrying out their duties and responsibilities oversight of the financial reporting process, internal control system, audit process, GCG implementation and the process of monitoring compliance with laws and regulations in the Company.<\/p>\n

The Company’s Internal Audit Unit was formed based on Bapepam LK Regulation No. IX.I.7 regarding the Formation and Guidelines for the Preparation of the Internal Audit Charter, which is the decision of the Chairman of Bapepam LK No. Kep-496\/BL\/2008 dated 28 November 2008, which has been replaced by Financial Services Authority Regulation No. 56\/POJK.04\/2015 dated 23 December 2015 concerning the Formation and Guidelines for the Preparation of the Internal Audit Unit Charter.<\/p>\n

The Company has established an Internal Audit Unit since 2018 and has compiled an Internal Audit Charter which has been approved by the Directors and has received approval from the Company’s Board of Commissioners.<\/p>\n

Unit Audit Internal Perseroan dibentuk berdasarkan Peraturan Bapepam LK No. IX.I.7 mengenai Pembentukan dan Pedoman Penyusunan Piagam Audit Internal, yang merupakan keputusan Ketua Bapepam LK No. Kep-496\/BL\/2008 tanggal 28 November 2008, yang telah digantikan dengan Peraturan Otoritas Jasa Keuangan No. 56\/POJK.04\/2015 tertanggal 23 Desember 2015 mengenai Pembentukan dan Pedoman Penyusunan Piagam Unit Audit Internal.<\/p>\n

Perseroan telah membentuk Unit Audit Internal sejak tahun 2018 dan telah menyusun Piagam Audit Internal yang disahkan oleh Direksi dan mendapat persetujuan dari Dewan Komisaris Perseroan.<\/p>\n
